Mark Zuckerberg, the CEO of Meta, has reached a significant agreement with the company's board of directors that allows him to maintain control of the tech giant while addressing concerns over a proposed tax measure in California. This development comes as Zuckerberg considered relocating from the state due to fears that the measure could jeopardize his voting power within Meta.

The tension arises from Proposition 40, a ballot initiative that proposes a one-time 5% tax on the assets of California residents with a net worth exceeding $1 billion. The revenue generated from this tax is intended to support healthcare services across the state. With Zuckerberg's net worth exceeding $200 billion, primarily tied to his holdings in Meta, the implications of this tax could have been substantial.

Zuckerberg holds approximately 13% of Meta's total equity, but his ownership of Class B shares grants him over 60% of the company's voting power, thanks to a dual-class share structure. Paying an estimated $12 billion tax bill under Proposition 40 would necessitate selling a significant portion of his stock. However, selling Class B shares would convert them into standard voting shares, effectively diluting his voting majority and undermining his control over Meta.

In response to these concerns, Zuckerberg informed the board of his intention to list his Palo Alto home, prompting the formation of a special committee to address the situation. On Wednesday, Meta announced the creation of a new Class C stock category that carries no voting rights. This move allows Zuckerberg to sell or transfer up to 20% of his Class C stock to cover potential tax liabilities without losing his majority stake in the company.

Meta highlighted the importance of Zuckerberg's leadership and presence at the company's headquarters in Menlo Park for driving shareholder value. During the third-quarter earnings call, Meta's Chief Financial Officer, Susan Li, emphasized that the new non-voting stock structure is designed to preserve founder-led management while also providing the company with financial flexibility for future investments, particularly in artificial intelligence and corporate growth.

As California voters prepare to decide on Proposition 40 on November 3, the debate surrounding the measure has intensified. Opponents, including various business leaders, have invested over $300 million in campaigns against the tax, while supporters, led by the Service Employees International Union-United Healthcare Workers West, estimate that the tax could generate up to $100 billion from around 200 billionaires in California. This ongoing discussion highlights the complex intersection of wealth, taxation, and corporate governance in the state.
